PipeTech End User License Agreement

Please read this End User License Agreement ("EULA") carefully before installing or using any PipeTech desktop or mobile software product ("Software"), including but not limited to Inspect, Review, Mobile, and Reader and any applications downloaded via third-party app stores. By installing, activating, or otherwise using the Software, you accept and agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

1. License Grant and Restrictions

Industrial Technology Group, LLC ("Company," "we," or "us") grants you a limited, non-exclusive, non-transferable license to install and use the Software solely within your organization. You may install the Software on multiple devices, but you may only activate and use the Software on one device per license concurrently.

You may not:

  • Sell, resell, rent, lease, or otherwise transfer the Software to any third party, including as part of the sale or transfer of hardware (e.g., vehicles).
  • Allow the Software to be used by individuals or entities outside your licensing organization.
  • Make the Software available via networked environments or hosted services; however, inspection data created or used by the Software may reside on networked environments.
  • Reverse engineer, decompile, disassemble, or create derivative works from the Software.
  • Attempt to circumvent software activation mechanisms or intentionally activate or use more licenses than you are entitled to under your agreement.
  • Violate any applicable terms and conditions of third-party app stores through which the Software is obtained.

    Your right to use the Software terminates immediately upon violation of any provision of this EULA.

2. Types of Licenses

  • Perpetual Licenses: Certain customers may have perpetual licenses, allowing indefinite use of a specific version of the Software. Perpetual licenses require an active, separately purchased Software Assurance plan for support, updates, and compatibility with current systems. Without active Software Assurance, perpetual licenses may become incompatible and cease to function correctly.

  • Subscription Licenses: Subscription licenses include Software Assurance and require periodic validation via online check-ins. Software Assurance includes access to certain updates, upgrades, and technical support. Subscription licenses remain active only while subscription fees are current and will deactivate upon non-payment or subscription expiration.

  • Reader Software: Reader is provided free of charge to view PipeTech-formatted inspection data and is governed by the terms of this EULA. It may not be used commercially beyond its intended purpose.


  • Utilities and Tools: PipeTech may offer additional tools or utilities to support customer workflows or integration purposes. These tools may require network access and explicitly permit networked usage, notwithstanding the restrictions outlined in Section 1. Such tools and utilities are governed by the terms of this EULA and may not be used commercially beyond their intended support or integration purposes.


  • Mobile Applications: Mobile Application licenses allow installation and use of PipeTech apps on compatible mobile devices owned or controlled by your organization. Mobile apps operate offline but require periodic synchronization with PipeTech Hub. Internet connectivity is required for initial installation, synchronization, updates, and certain functionalities. Usage is also subject to applicable third-party app store terms.

3. Responsibility for Software Security and Insurance

You are responsible for maintaining the security of your licensed Software. We recommend insuring the Software against loss or theft. Standard Company policy does not guarantee replacement of lost or stolen Software, and replacement may incur additional fees. Under no circumstances will a Perpetual License be replaced without active Software Assurance.

4. Ownership, Intellectual Property, and Changes to Software

The Software is licensed, not sold, and Company retains all rights, title, and interest, including intellectual property rights, in and to the Software.

The Company reserves the right, at its sole discretion, to modify, add, or discontinue any features or functionality of the Software. Certain new features or major functionality enhancements may require additional fees, new subscription plans, or other licensing arrangements. The Company makes no guarantee that any specific feature or functionality will remain available or unchanged. You agree to promptly install all provided updates to maintain compatibility and functionality.

5. Privacy and Data Handling

Your use of the Software is subject to our Privacy Policy, which is incorporated by reference into this EULA. Please carefully review our Privacy Policy to understand how we collect, store, and handle any data related to your use of the Software.

6. Warranty Disclaimer

The Software is provided “AS IS” and without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Company does not warrant that the Software will meet your requirements, will be compatible with all systems or hardware configurations, or that its operation will be uninterrupted or error-free.

7. Limitation of Liability

In no event will Company or its affiliates be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use or inability to use the Software. Company's total liability for any claim related to this EULA shall not exceed the license fees paid by you for the Software during the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Company, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, or expenses (including reasonable attorney’s fees) arising from your use or misuse of the Software, or your violation of this EULA.

9. Export Compliance

You agree not to export or re-export the Software in violation of U.S. export control laws. You represent that you are not located in a country subject to a U.S. embargo, nor are you on any U.S. government restricted parties list.

The Software and accompanying documentation are provided with restricted rights. Use, duplication, or disclosure by the U.S. government is subject to restrictions as set forth in DFARS 252.227-7013 or FAR 52.227-19, as applicable.

10. Governing Law

This EULA is governed by the laws of the State of Colorado, U.S.A., without regard to its conflict of laws principles. Any disputes arising under this EULA will be exclusively settled in the state or federal courts located in Colorado.

11. Entire Agreement

This EULA constitutes the entire agreement concerning the Software between you and Company and supersedes any prior agreements, understandings, or representations.

12. Changes to This EULA

Company reserves the right to update or modify this EULA from time to time. Continued use of the Software after changes indicates your acceptance of the updated terms.
